‘Independent decision’ on board remuneration

Decisions pertaining to board remuneration, which form an important part of board governance, should be made by an independent remuneration committee. Australian superannuation fund Transport Workers Union Nominees chairman David Galbally said the chairman of the board can be present at remuneration committee meetings and participate in dicussions but should not vote on decisions and should not chair the remuneration committee."The committee should be chaired by a significantly independent person and comprise independent directors," he said.
